Terms of Service for RoamHR
Your access of RoamHR in any way is evidence of your acceptance of the Terms and the enforcement of said Terms. If you do not agree to these terms and conditions, you may not use the application, website or any of its resources. RoamHR may at times change, modify, or otherwise alter these terms and will provide notice. Your continued use of the application and our services accessible through it, after such posting or notification means you accept the modifications. Your use of the platform also means that you accept the use of electronic methods of communication. RoamHR will send push notifications and emails to communicate status and other notices to you. In addition, we may post communication to you via our website or through our partner channels.
Your Eligibility to Use RoamHR
RoamHR is intended solely for individual users who are (i) natural persons (ii) 18 years of age or older (or the age of majority in the state where you reside); (iii) residents of the United States. By using this Site, you represent that you meet these criteria and that you agree to and will abide by all of the terms and conditions of these Terms of Service. If you violate any of these Terms of Service, or violate any other agreement with us, in our discretion, we may prohibit you from using or accessing the Site or any portion, aspect, or feature of the Site.
RoamHR is a digital financial platform that can connect to personal bank accounts, estimates income, calculate taxes and make payments and transfers to help customers better save for tax time. RoamHR’s calculations are meant to be estimates and are not meant to replace the work of a good certified tax accountant. Certain tax laws and regulations can dramatically change tax calculations and you should always seek sound advice on your situation when it comes to saving for and paying your taxes. Your agreement with these terms of service and your use of the product means that you agree to hold RoamHR and its affiliates blameless in financial matters related to the money you owe for taxes.
Use of IRS Payment Service, Transfers and Personal Bank Access
RoamHR Tax Payment Services
As a feature to our customers, RoamHR provides certain payment services as an agent of the customer. Your use of these services means that you agree to let RoamHR act on your behalf with full legal rights to submit the payment instructions on your behalf.
When enrolling and activating the tax payment service, you are enrolling in an IRS batch payment provider service managed by RoamHR which submits ACH withdrawal orders to the IRS on your behalf via the IRS managed EFTPS system. As a batch payment provider, RoamHR registers for and shares access with you of your assigned EFTPS pin number which is issued by the IRS. We use this EFTPS number to submit payment requests on your behalf. At any point in time you can use the EFTPS system to view these payments.
When RoamHR submits a payment request on your behalf, the EFTPS system will conduct an ACH pull request against your Tax Withholding Account in the amount of your estimated payment or against the balance of the account if the balance is less than the quarterly estimated payment amount.
In order to reduce unwanted payments to the IRS, use of the RoamHR tax payment service requires a two-step process for enrollment and activation. Enrollment in the service requires filling out and e-signing an IRS form and providing additional information such as your previous year’s adjusted gross income. After enrollment, the service must be toggled to activated which allows you to control whether you’ll be making payments for the quarter. RoamHR closes activation 5 days prior to the quarterly scheduled due date. You must be enrolled and have the service activated for RoamHR to submit a payment on your behalf. By deactivating the service up to 1 day prior to the scheduled due date you will cancel your payment request.

Savings, payments and transfers functionality of RoamHR
In order to use the savings, payments and transfers functionality of RoamHR, you must apply for and open a RoamHR Tax Withholding Account provided by Somerset Trust Bank, which is an FDIC insured depository account.
You agree that you will not use or attempt to use the application in any manner that: (i) uses technology or other means not authorized by us to access the platform information or our systems; (ii) encourages conduct that would constitute a criminal offense or that gives rise to civil liability; (iii) is unlawful, fraudulent, or deceptive; or (iv) otherwise violates these Terms of Service.
Wireless Operator Data
You authorize your wireless operator to disclose your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber and device details, if available, to RoamHR and their service providers for the duration of the business relationship, solely for identity verification and fraud avoidance.
By providing RoamHR and/or Somerset Trust or their affiliates or agents with your phone number (including mobile), email address or other contact information, you give RoamHR, Somerset Trust, and their affiliates and agents, your permission to contact you through those means about your inquires, applications, or accounts with RoamHR and/or Somerset Trust, including accounts you may open in the future.
If you submit an application, you agree to cooperate in the application process by submitting any required documentation in a timely manner and, if applicable, by obtaining information RoamHR or BBVA may need from third-parties. You agree to notify us of any changes in any information submitted in connection with your application.
In return for your membership subscription fee, RoamHR grants each registered user a limited license to access and make personal use of the application and website resources to estimate, save for, track and pay their quarterly self-employment taxes as well as manage expenses and have access to membership offers. The license to use the application does not include any resale or commercial use of RoamHR or its contents; or any derivative use of this application or its contents; or any use of data mining, robots or similar data gathering and extraction tools or processes. You agree not to store in any form, distribute, transmit, display, reproduce, modify, create derivative works from, sell or otherwise exploit any of the content of this application for any commercial purpose. You may not reverse engineer the application in any way or use it in any manner other than its intended purpose.
If you use RoamHR and its resources, you agree to protect and maintain the security of your devices used for accessing the platform and for the confidentiality of your account information, including any access credentials used to access the Site. If you learn of any unauthorized use of your access credentials or account, you agree to immediately contact us. You agree that you are solely responsible for maintaining the security of your devices used for accessing the Site and for the confidentiality of your account information. You are solely responsible for any and all activity that occurs under your account as a result of your failing to keep this information secure.
In consideration of your use of the application, you agree to provide truthful, accurate, current and complete information about yourself as asked for by the registration form and keep this information up to date. Although we have no desire to do so, RoamHR has the right to refund any existing funds held and terminate your account and refuse any and all current or future use of the application, in accordance with the agreements and applicable law governing your account.
Limitation of Liability
THE ENTIRE CUMULATIVE LIABILITY OF RoamHR AND ITS SUPPLIERS FOR ALL MATTERS ARISING FROM OR RELATING TO THESE TERMS SHALL BE LIMITED TO THE AMOUNT PAID BY THE CUSTOMER FOR THE RELATED SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROAMHR AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR FOR DAMAGES RELATING TO TELECOMMUNICATION FAILURES, LOSS, CORRUPTION, SECURITY OR THEFT OF DATA, VIRUSES, SPYWARE,OR THE LIKE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ROAMHR OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ROAMHR AND YOU. ROAMHR WOULD NOT BE ABLE TO HAVE PROVIDED THE SERVICE WITHOUT SUCH LIMITATIONS.
THE ROAMHR PLATFORM AND SERVICES PROVIDED IN CONNECTION THEREWITH ARE PROVIDED “AS IS” AND WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS IMPLIED OR STATUTORY. WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS DISCLAIM ANY AND ALL REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND RELATING TO THE PLATFORM, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES AS TO TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON- INFRINGEMENT. WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR SECURE ACCESS TO THE SITE OR PLATFORM, AND THE OPERATION OF THE SITE MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OUR CONTROL.
You agree that if any provision of these Terms of Service is found to be unlawful or void, or for any reason unenforceable, then that provision will be deemed severable from the other provisions and shall not affect the validity and enforceability of such other provisions.
Revisions and Modifications
We reserve the right, at any time without notice to you and in our sole discretion, to change or discontinue the RoamHR platform or the Terms of Service.
Bank accounts offered are located in the State of Alabama, and these Terms of Service are governed by and construed by the law of the State of Alabama without regard to its conflicts of law provisions. You agree that any action at law or in equity arising out of or relating these Terms of Service or the use of the Site shall be filed only in the state or federal courts located in Jefferson County, Alabama, and you consent to the personal jurisdiction of such courts for the purposes of litigating any such action.
Patriot Act Notice
Federal law requires all financial institutions to obtain, verity and record information that identifies each person who opens an account or applies for a loan, including your name, address, date of birth, and other information that will allow us to verify your identity. We may also ask you to provide identifying documents.
